15-2-131. DUTIES OF BOARD OF DIRECTORS.

Unless the election under Section 122 of this Chapter to operate without a board of directors has been made, all corporate powers shall be exercised by or under the authority of, and the business and affairs of the corporation managed under the directions of, its board of directors, subject to any limitations set forth in the articles of incorporation.
