15-3-130. REMOVAL OF DIRECTORS BY JUDICIAL PROCEEDING.

  1. The Rosebud Sioux Tribal Court may remove a director of the corporation from office in a proceeding commenced by the corporation, or by at least 33 percent of the members or in an action brought on behalf of the Director of Corporations, if the court finds that
    1. The director engaged in fraudulent or dishonest conduct or gross abuse of authority or discretion with respect to the corporation or that the director received a loan of the corporation’s money or credit, and
    2. Removal is in the best interest of the corporation.
  2. If the court removes the director it may bar the director from reelection for a period prescribed by the court.
  3. If either the corporation’s members or the Director of Corporations commences a proceeding under subsection (a), the corporation shall be made a party defendant.
